Terms & Conditions

These Terms of Service (the "Terms") govern your access to and use of Photolion and any other software product, website, application, feature, subscription, or related service operated by Kaalika Solutions that references these Terms (together, the "Service").

By creating an account, clicking "I agree", accepting an order, paying fees, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Parties

These Terms are entered into between Kaalika Solutions, a sole proprietorship concern registered for GST in India and owned by Sudha Ramalingam (GSTIN 33BWEPS6236F1ZI, registered place of business at Hanudev Infotech Park, 6th Floor, Unit No. Block 'C', SF No. 558/2, Udayampalayam Main Road, Nava India, Coimbatore — 641028, Tamil Nadu, India) ("Kaalika Solutions", "we", "us", "our"), and the individual or entity accepting these Terms ("Customer", "you", "your").

Photolion is the current software-as-a-service product operated by Kaalika Solutions. Additional products launched by Kaalika Solutions may also be governed by these Terms when they reference them.

2. The Service

Photolion is a browser-based tool that helps professional photographers and studios organise, cull, rename, route, and package photograph libraries. Core file operations run locally in your web browser using standard browser file-system APIs. In the ordinary course of providing core features, we do not receive, host, or store copies of your image files on our servers.

Certain optional features (such as AI-assisted classification, tagging, or culling) may transmit downscaled image previews or metadata to third-party AI providers we integrate with, solely to perform the specific processing you request. You choose whether to use these features.

The Service may include pre-release, beta, alpha, or evaluation features ("Beta Features"). Beta Features are provided "AS IS", may be modified or discontinued at any time, and are not subject to any service level or support commitment.

3. Account and eligibility

You must be at least 18 years old and legally able to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. If you accept these Terms on behalf of an entity, you represent that you have the authority to bind that entity.

4. Subscriptions, fees, and payment

  • Fees are set out on our pricing page, checkout screen, or invoice at the time of purchase.
  • Subscriptions are billed in advance and may auto-renew for successive Subscription Terms unless cancelled before renewal.
  • Fees are processed by a third-party Payment Processor identified at checkout. All Fees are non-refundable except where required by applicable law.
  • You are responsible for any taxes applicable to your purchase, other than taxes on our income.

5. AI Wallet

  • The AI Wallet is a prepaid, USD-denominated credit balance used to pay for optional AI-based features.
  • The AI Wallet balance is capped at USD 100 at any point in time; top-ups that would exceed this cap will be rejected or reduced.
  • AI Wallet credits are prepaid, non-refundable, non-transferable, and have no cash value, except where a refund is expressly required by applicable law.
  • Credits do not expire and remain available in your account until consumed, unless your account is terminated for breach, fraud, unlawful activity, or other cause.

6. Customer content and intellectual property

As between you and Kaalika Solutions, you retain all right, title, and interest in and to your content (files, images, metadata, text, and other content you or your end users process through the Service). You grant us a limited, worldwide, royalty-free licence to process your content only to the extent necessary to provide, maintain, secure, troubleshoot, and improve the Service and to fulfil the specific operations you request.

You are responsible for ensuring you have all rights and consents necessary to process the content you send through optional AI features. Kaalika Solutions and its licensors retain all right, title, and interest in and to the Service and Documentation.

7. Acceptable use

You will not:

  • Use the Service in violation of applicable law or the rights of any third party;
  • Reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent expressly permitted by law;
  • Circumvent usage limits, security features, or access controls;
  • Use the Service to send spam, malware, or unlawful content;
  • Resell, sublicense, or make the Service available to third parties outside your organisation without our written consent.

8. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care), and will use it only for the purposes of these Terms.

9. Warranty disclaimer

THE SERVICE AND ANY BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content will be secure or not otherwise lost or altered. No service level applies unless a specific Order expressly states otherwise. You remain responsible for maintaining your own backups and for reviewing AI outputs before relying on them.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Except for your payment obligations and each party's indemnity and confidentiality obligations, each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by you to Kaalika Solutions for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You will defend, indemnify, and hold harmless Kaalika Solutions from and against third-party claims arising out of your content or your breach of these Terms. We will defend you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes such third party's intellectual property rights registered in a country in which we make the Service generally available, and will pay damages finally awarded or agreed by us in settlement, subject to reasonable exclusions.

12. Term and termination

These Terms remain in effect while you use the Service or while any Subscription Term is in effect. Either party may terminate for material breach not cured within 30 days of written notice. We may suspend or terminate your access immediately for security reasons, unlawful activity, non-payment, or breach that in our reasonable view cannot be cured. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts at Coimbatore, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to either party's right to seek injunctive relief in any court of competent jurisdiction.

15. Miscellaneous

These Terms, together with any Order and any product-specific terms referenced by us, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements on the subject. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, reorganisation, or sale of assets.
